1. Introduction, purpose and nature of the agreement
Easypeasy provides a web-based software solution for recording, structuring, storing, presenting and exporting financial data and related documentation.
The agreement is a standardised SaaS agreement intended for businesses. The service is not developed for personal use.
If Easypeasy offers additional services, integrations or modules with separate terms, these terms apply unless otherwise expressly agreed.
2. Formation of the agreement and authority
The agreement becomes binding when the Customer expressly accepts the terms of service when creating an organization in Easypeasy. Creating a user account alone does not constitute acceptance of this agreement.
The person accepting the agreement on behalf of the Customer confirms that they have the necessary authority to bind the business.
If such authority does not exist, that person may be personally liable for losses incurred by Easypeasy as a result of unauthorised use or formation of the agreement.
3. The System and services
Easypeasy shall deliver and further develop the System to the best of its ability, correct errors within a reasonable time and strive for high availability.
The System is nevertheless provided as is, and the Customer accepts that errors, interruptions, maintenance and changes may occur.
Easypeasy may continuously improve the user interface, technical architecture, integrations and functionality. Material changes affecting pricing, core functionality or the Customer's rights shall be notified with reasonable notice.
4. Right of use and access
The Customer is granted a limited, non-exclusive and non-transferable right to use the System for as long as the agreement is complied with and the agreed fees are paid.
The Customer determines which users are granted access, unless the functionality provides for access by an accountant, auditor, authorised signatory or equivalent role associated with the business.
The right of use does not include any right to source code, reverse engineering, decompilation, competitive analysis beyond what mandatory law permits, or any other use beyond normal use of the System.
5. Prices, payment and changes to the pricing model
The System is provided on a subscription or other recurring payment basis in accordance with the current price list or an individual agreement. Prices exclude value added tax unless expressly stated otherwise.
Billing is in advance at the interval specified in the order. For late payment, Easypeasy may charge interest and costs in accordance with applicable law.
Easypeasy may change prices and the pricing model with at least three months' notice, unless the change results from statutory charges, regulatory requirements or third-party costs outside Easypeasy's control.
6. The Customer's responsibilities
The Customer is responsible for ensuring that information and documentation recorded, imported, uploaded or sent through the System is accurate, lawful and subject to sufficient quality control.
The Customer remains responsible for bookkeeping, assessments, submissions to public authorities and compliance with bookkeeping regulations, tax rules, VAT rules and other regulatory requirements.
Automation, OCR, categorisation, AI-based recommendations and other automated processing are tools. The Customer must check and approve content before recording, submitting or otherwise using it.
7. User accounts, authentication and security
Passwords and other authentication mechanisms are personal and must be kept confidential. The Customer shall ensure appropriate access management, allocation of roles and internal controls.
The Customer shall take reasonable steps to prevent unauthorised access and notify Easypeasy without undue delay if misuse, security breaches or compromised accounts are suspected.
Easypeasy may suspend access wholly or partly where necessary for security, integrity, stable operation, suspected misuse or compliance with statutory requirements.
8. Prohibited use and breach of usage rules
The System must not be used in breach of laws, regulations, good business practice or this agreement, including for fraud, money laundering, sending fictitious or misleading invoices, attempts at unauthorised access or harm to third parties.
The Customer must not copy, decompile, reverse engineer, map or analyse the System to develop competing solutions or circumvent technical restrictions, unless permitted by mandatory law.
Where there is reasonable suspicion of a material breach, Easypeasy may take necessary measures, including temporary suspension, blocking particular features, removing unlawful content or terminating with immediate effect.
9. Third-party services and partners
The System may contain integrations and connections to third-party services. Such services are provided by independent suppliers under their own terms.
Easypeasy is not responsible for the availability, performance, legality, security or data processing of third parties, but will seek to inform the Customer when third-party circumstances materially affect use of the System.
If the Customer activates EHF, Peppol or similar messaging functionality, the Customer authorises Easypeasy to perform registrations and technical actions on the Customer's behalf to the extent necessary to provide the service.
10. Data, ownership, export and offboarding
The Customer retains ownership and control of its own data entered into the System. Easypeasy is granted only those rights necessary to lawfully provide, operate, secure, maintain and further develop the service.
Easypeasy may process usage patterns, technical data, logs and aggregated or de-identified data for operations, security, analysis, product improvement and statistical purposes in accordance with applicable data protection law.
The Customer shall be able to export key data through the functionality supported by the System at any given time, such as general ledgers, customers, suppliers, invoices, documents, attachments or SAF-T where offered.
Upon termination, the Customer shall have a reasonable opportunity to retrieve data using available export functions. Special assistance with data delivery or migration may be offered for a fee.
11. Availability, operations, maintenance and support
Easypeasy shall strive for high uptime and sound operation but does not guarantee that the System will always be free from interruptions or errors.
Planned maintenance will, where possible, be scheduled to minimise disruption to the Customer's use. In the event of material errors, Easypeasy shall work to remedy the situation within a reasonable time.
Where necessary for support, troubleshooting, security, internal quality control or service follow-up, Easypeasy may access relevant parts of the Customer's data to the extent necessary and permitted by applicable law.
12. Data protection roles, retention and deletion
For personal data whose purpose is determined by the Customer and which is processed in the System as part of providing the service, the Customer is the controller and Easypeasy is the processor.
Further provisions are set out in the data processing agreement .
For personal data processed by Easypeasy for its own purposes, including contact persons, users, billing, product analytics, security logs, abuse prevention, support administration and compliance with legal obligations, Easypeasy is the controller.
Because the System handles accounting records and traceability, deletion of individual items may be restricted. Data may first be logically deleted and then physically deleted after a further retention period.
13. Confidentiality
The parties shall treat as confidential any information obtained through the agreement that can reasonably be understood to be confidential.
This includes accounting data, security information, pricing information, trade secrets, technical solutions and non-public product information.
The confidentiality obligation does not apply to information that is publicly known, lawfully received from a third party without a duty of confidentiality, or required to be disclosed by law or an order from a public authority.
14. Intellectual property rights
All intellectual property rights in the System, including software, design, structure, documentation, databases, trademarks and methodology, belong to Easypeasy or its licensors.
The Customer acquires no rights beyond the express right of use under the agreement, but retains rights to its own data and content.
15. Changes to the agreement
Easypeasy may amend the agreement where objectively justified by legislative changes, security, product development, integrations, the pricing model or other business circumstances.
Material changes that substantially adversely affect the Customer's rights or obligations shall be notified with reasonable notice before taking effect.
If the Customer does not accept such a change, the Customer may terminate the agreement with effect from the date on which the change would otherwise take effect.
16. Breach, remedy and sanctions
If a party believes the other party has breached the agreement, it shall give written notice without undue delay. The party in breach shall be given a reasonable opportunity to remedy the situation, unless the breach is material or an immediate response is necessary.
If a breach is not remedied within a reasonable time, the non-breaching party may demand a proportionate price reduction, suspension of specific services or termination for material breach.
Failure to pay that is not remedied within 30 days of written payment notice constitutes a material breach.
17. Liability and limitation of liability
Each party is liable for direct losses caused by its breach of the agreement, subject to the limitations below.
The parties are not liable for indirect losses, including loss of profit, losses resulting from business interruption, loss of goodwill or third-party claims, unless otherwise required by mandatory law.
Easypeasy's aggregate liability is limited to an amount equal to the Customer's total payments for the System in the twelve months preceding the event giving rise to liability.
The limitation does not apply to wilful misconduct or gross negligence, breach of confidentiality, infringement of intellectual property rights, or to the extent that liability cannot be limited under mandatory law.
18. Duration, termination and suspension
The agreement runs from its formation until terminated by either party. The Customer may terminate through the System or by another specified method.
Easypeasy may terminate the agreement in the event of material breach, non-payment, unlawful use, security risk, an order from a public authority or other circumstances making continued delivery imprudent or unlawful.
Easypeasy may temporarily suspend access where necessary to protect the System, the Customer, other customers or third parties.
19. Force majeure
Neither party is liable for non-performance caused by circumstances beyond its reasonable control, including natural events, war, terrorism, serious cyberattacks, orders from public authorities, extensive power or network outages, strikes or similar circumstances.
The affected party shall notify the other party as soon as practicable. Obligations are suspended for as long as the force majeure situation continues.
20. Governing law and disputes
The agreement is governed by Norwegian law.
The parties shall first seek to resolve disputes through negotiation. If an amicable solution cannot be reached, either party may bring the dispute before the ordinary courts, with Oslo District Court as the agreed venue, unless mandatory law provides otherwise.
